SCHEDULE OF PRODUCTS
License details: THRIVE LEARNING
“Thrive Learning” means Thrive Learning Limited, 6B Oldknows Factory St Anns Hill Road, Nottingham, NG3 4NG – 10988277
Thrive Learning hereby grants to the Customer a non-exclusive, non-transferable license to access the Products specified in the Schedule of Products subject to the following terms and conditions:
The Subscriber Agreement authorizes all designated employees (“Employees”) of the Customer to receive the Thrive Learning Library Service during the period of the Subscriber Agreement or during the Duration.
The Thrive Learning Library Service consists of the following elements:
Thrive Learning will activate access to the Thrive Learning Library for the Customer as accessible SCORM modules (Shareable Content Object Reference Model), this is a collection of specifications that enable interoperability, accessibility and reusability of web-based learning content. SCORM content can be delivered to learners via any SCORM-compliant Learning Management System (LMS) using the same version of SCORM. Thrive Learning shall release new modules to the library on a regular basis, for which there will be no additional charge. Thrive Learning will review all modules on a six (6) monthly ongoing basis to ensure that all content is up to date with relevant legislation.
The term of the Subscriber Agreement is fixed for a period of twelve (12) Months and will renew automatically annually on the anniversary of the date to which this Subscriber Agreement was entered into unless terminated by either party with thirty (30) days’ written notice.
At no point after cancellation may the Customer use any Thrive Learning modules. If any modules are used after the cancellation date then the Customer is liable for a full year’s subscription at the renewal price.

The copyright in the material contained in the courses, together with the design, text and graphics and all software compilation belong to Thrive Learning. All rights are reserved. None of this material may be reproduced or redistributed without Thrive Learning’s written permission. You may, however, download or print a single copy for your own non-commercial viewing.
If you download the course material from our site, all the material and data are deemed to be licensed to you by Thrive Learning, for your personal, non-commercial use only. Thrive Learning does not transfer either the title or the intellectual property rights of the course to the Customer and Thrive Learning retains full and complete title to the courses as well as all the intellectual property rights therein. You may not sell, redistribute or reproduce or convert any of the material. Thrive Learning owns all trademarks and logos and you may not copy or use them in any manner.
Exclusions of Liability
Thrive Learning will use best endeavours to ensure that the data in the courses is accurate by six (6) monthly reviews and to correct any errors or omissions as soon as practicable after being notified of them. To the extent permitted by applicable law, we disclaim all warranties and representations (whether express or implied) as to the accuracy of any information contained in the courses. We do not guarantee that the material will be fault free and do not accept liability for any errors or omissions but will ensure that, as the pre-built content is a major part of our business, we review on an ongoing basis.
All disputes including those concerning any statute of limitations, set-off claims, tort claims and interest claims, shall be governed by the exclusive laws of England.
All disputes between the parties shall be exclusively and finally resolved by mediation.
